Edison S.p.A. and its subsidiaries provide an opportunity, in compliance with Legislative Decree 24 of 10 March 2023, to employees, shareholders, company staff, and third parties who collaborate with the company (such as freelancers and consultants), to report offences and/or violations, anonymously if they wish, through an online platform that allows the report to be concretely substantiated.
The objective of adopting this tool is prevention of the occurrence of non-compliance or irregularities within the organisation, but also involving all stakeholders in combating illegality through active and responsible participation. Communications relating to commercial activities (e.g. complaints about bills, invoices, etc.) shall, on the other hand, be channelled through the customer service tools provided for this purpose. Though preference shall be given to the whistleblowing channels provided by Edison, in the cases obligatorily identified under art. 6 of Legislative Decree 24 of 10 March 2023, reports may also be submitted to the appropriate authority (ANAC).
HOW TO FILE A REPORT
Reports are submitted through an online platform guaranteeing the confidentiality of the reporter's identity through computerised means. Reports are received by the Head of the Internal Audit, Privacy & Ethics Department and the Head of the 231 Compliance & Ethics Department of the same Department (the 'Recipients'), who issue the reporting person with an acknowledgement of receipt of the report within seven days from the date of receipt; they maintain contact with the reporting person; they follow up the report and provide feedback within three months from the date of the acknowledgement of receipt of the report.
Alternatively, reports may also be submitted by ordinary mail to the following address:
Edison S.p.A., Internal Audit, Privacy & Ethics - Whistleblowing, Foro Buonaparte n. 31, 20121 - MILAN.
In addition, the whistleblower has the option of choosing to make the report orally, in a face-to-face meeting, after submitting an express request to meet in accordance with the instructions contained in the online platform.
The report is handled in accordance with the principles of confidentiality, and the whistleblower’s identity will not be disclosed without his or her consent. Any personal data that may be present are processed in accordance with current privacy legislation and kept for the period of time strictly necessary for the handling of the report. If the report is of significance for the purposes of Legislative Decree no. 231/2001 - constituting a violation of the Model 231 or Code of Ethics and/or one of the offences envisaged in Legislative Decree 231 - the Recipients shall immediately notify the Supervisory Board of Edison S.p.A. or of the Group company to which the report refers. The Supervisory Board will cooperate in the investigation and management of the report, in compliance with the principles of confidentiality and/or anonymity of the whistleblower.
WHY TO REPORT
Employees or other people can sometimes be in a position to become aware of non-conformities or irregularities that the company cannot identify in a timely manner, and it is important for the company to be able to check up on these anomalies and correct them if necessary.
PROTECTION OF THE REPORTER
The Company protects whistleblowers against threats, retaliation and/or discrimination as a consequence of reports made.
PROTECTION OF THE REPORTED PERSONS
The reported persons may be involved in the verification and ascertainment of potential unlawful conduct and/or violations, but under no circumstances will sanctioning procedures be initiated against them solely on the grounds of the report, in the absence of concrete evidence as to its content. This may possibly take place on the basis of other evidence found and ascertained as a result of the report.
